The Importance of Preparation

Too often firms will try to race ahead to execute a transaction—whether obtaining financing, making an acquisition, or outright selling—before they are fully ready to do so. The result can be delays, frustration, loss of value, or far worse. We believe in bringing focused attention to the work of preparation. That might involve rigorous due diligence, a thorough legal review of all current and prospective contracts or agreements, or creation of a detailed plan of what must be done after the transaction.

Execution is a Step, Not an End

Critical transactions of this kind do not occur in isolation. They can be affected, both positively and negatively, by how they are structured and communicated beforehand, and equally by how they are managed and integrated into the surviving organization afterwards.
